Incentra Solutions Requests 10-KSB Filing ExtensionWill Announce Results for 2005 Fourth Quarter and Year Today, File 10-KSB On or Before April 17 Extension DeadlineApril 3, 2006 Boulder, CO, April 3, 2006 – Incentra Solutions Inc. (OTCBB: ICNS) today announced that the preparation and filing of the Annual Report on Form 10-KSB for the fiscal year ended December 31, 2005 will be delayed due to an accounting issue related to the finalization of the purchase price allocations for its acquisitions of STAR Solutions and PWI Technologies in 2005 that is still under review by the Company’s outside auditors.
The Company currently plans to announce partial results for the fourth quarter and year ended December 31, 2005 in a news release today. Because of the delay in filing its 10-KSB for the year ended December 31, 2005, Incentra will not be holding a conference call today following the news release announcing its partial results for the 2005 fourth quarter and year.
The Company expects to file its Annual Report on Form 10-KSB for the year ended December 31, 2005 with the Securities and Exchange Commission on or before April 17, 2006, which is within the extension period provided under Rule 12b-25.
